Welcome to MyShopMetrics. These Terms of Service ("Terms") govern your use of the MyShopMetrics website, calculators, tools, and services (collectively, the "Services") operated by MyShopMetrics LLC ("we," "us," or "our"), a limited liability company registered in the State of Iowa.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Description of Services
MyShopMetrics provides custom machining cost calculators, reference tools, and related resources designed for the cutting tool and manufacturing industries. Our Services include:
- Custom-built cost savings calculators branded for your organization
- Free publicly available machining reference tools and calculators
- PDF report generation from calculator outputs
- Consulting and ongoing calculator development and maintenance
2. Intellectual Property Rights
All content, code, designs, formulas, calculation methodologies, visual layouts, branding elements, and documentation created by MyShopMetrics are the exclusive intellectual property of MyShopMetrics LLC. This includes but is not limited to:
- All HTML, CSS, and JavaScript source code
- Calculator logic, formulas, and algorithms
- Visual design elements, layouts, and user interface components
- Written content, guides, and reference materials
- PDF report templates and generation code
You may not copy, reproduce, reverse-engineer, decompile, disassemble, modify, distribute, sell, license, or create derivative works from any part of our Services without express written permission from MyShopMetrics LLC.
3. Custom Calculator Licensing
When you purchase a custom calculator from MyShopMetrics:
- You receive a non-exclusive license to use the calculator for your organization's internal business purposes
- The underlying code, calculation logic, and design remain the intellectual property of MyShopMetrics LLC
- You may not resell, redistribute, sublicense, or share the calculator code with third parties
- Your branding and logo applied to the calculator remain your property
- MyShopMetrics retains the right to use similar calculation methodologies in tools built for other clients
4. Free Resources & Tools
The free calculators and reference tools available on myshopmetrics.com are provided for general informational and educational use. You may use these tools for personal and professional purposes, but you may not:
- Reproduce or embed them on your own website or application
- Copy the source code for use in your own tools or products
- Present them as your own work or remove MyShopMetrics branding
- Use automated systems to scrape or bulk-access the tools
5. Accuracy & Disclaimer of Warranties
Our calculators and tools are designed to provide estimates and reference data to assist with machining cost analysis and manufacturing decisions. However:
- All calculations are estimates and should be verified against actual operating conditions
- Results depend on the accuracy of user-provided inputs
- Real-world machining conditions vary based on material, equipment, tooling wear, coolant, and many other factors
- Our tools are provided "as is" and "as available" without warranties of any kind, whether express or implied
MyShopMetrics does not warrant that the results produced by any calculator will be accurate, complete, or suitable for any specific application. Users should always exercise professional judgment and verify results before making manufacturing or purchasing decisions.
6. Limitation of Liability
To the fullest extent permitted by applicable law, MyShopMetrics LLC, its owner, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our Services. This includes but is not limited to:
- Financial losses resulting from decisions based on calculator outputs
- Tooling damage, material waste, or production errors
- Business interruption or lost profits
- Any errors, inaccuracies, or omissions in the tools or content
In no event shall our total liability exceed the amount you paid to MyShopMetrics in the twelve (12) months preceding the claim.
7. User Responsibilities
By using our Services, you agree to:
- Provide accurate input data when using calculators
- Verify all calculator outputs against actual operating conditions before making decisions
- Use the Services only for lawful purposes
- Not attempt to gain unauthorized access to any part of our systems
- Not interfere with or disrupt the Services or servers
- Respect all intellectual property rights as outlined in these Terms
8. Payment Terms
For custom calculator projects:
- Pricing is provided on a per-project basis via written quote
- Payment is due upon delivery unless otherwise agreed in writing
- Edit requests after delivery are subject to additional fees as outlined in your quote
- All payments are processed securely through Stripe
- Refunds are handled on a case-by-case basis at our discretion
9. Termination
We reserve the right to suspend or terminate access to our Services at any time, with or without cause, and with or without notice. Upon termination of a custom calculator engagement, your license to use the delivered calculator continues subject to the terms of your original agreement, but access to any hosted services may be discontinued.
10. Indemnification
You agree to indemnify and hold harmless MyShopMetrics LLC from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our Services or violation of these Terms.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Iowa, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of our Services shall be resolved through:
- Good faith negotiation between the parties
- Binding arbitration in Cedar Falls, Iowa if negotiation fails
- Litigation only for intellectual property violations or injunctive relief
12. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
13. Changes to These Terms
We may update these Terms from time to time. We will post the updated terms on this page with a new "Last Updated" date. Your continued use of our Services after changes constitutes acceptance of the updated Terms.
